{"message":"Proposal Title:\nVST Funding Request, LLC Manager Replacement, Bank Account, VF Legal Expenses\n\nPurpose:\nRequest the transfer of the calendar year 2026 funding for the Vaulta Stewardship Trust (“VST”) from the Vaulta Treasury and explicitly authorize the Vaulta Stewardship LLC (“VS LLC”) to open a US-based bank account.\nReplacement of the VS LLC Manager Benjamin Goren and request that Anthony Peltier is appointed as the new VS LLC Manager.\n\nApprove the VST/VS LLC use of funds for Vaulta Foundation legal fees related to the transition.\nApproval of Funding Request\n\nResolved Clauses:\n\nThis MSIG authorizes the VST/VS LLC to receive up to $160,000 USD in funding from the Vaulta Treasury.\n\nRESOLVED, that the active block producers of the Vaulta Network hereby recognize and authorize and request the Vaulta Treasury transfer $160,000 USD to the VST, a Texas statutory trust pursuant to the Texas Business Organizations Code, wholly owned subsidiary, VS LLC, a Texas Limited Liability Company pursuant to the Texas Business Organizations Code.\nVaulta Stewardship LLC is reaffirmed as the operational entity wholly owned by the VST and authorized to hold bank accounts and administer operational functions pursuant to the VS LLC Operating Agreement.\n\nReplacement of VST LLC Manager\n\nRESOLVED, the active block producers authorize the Vaulta Foundation request that the current LLC Manager, Benjamin Gormen, be replaced by Anthony Peltier.\n\nAuthorization of Bank Account Creation\n\nRESOLVED, the active block producers authorize the VS LLC to open a US bank account to hold the funds requested from the Vaulta Treasury.\nAuthorization & Attestation to Approve Funding for Vaulta Foundation Legal Fees\n\nRESOLVED, that the active block producers of the Vaulta Network hereby authorize the VST and or VS LLC to reimburse up to USD $15,000 in legal fees incurred by Yves La Rose in connection with the transfer of Stewardship Assets (as defined in the “IP and Asset Transfer Agreement”) to the VST and or VS LLC, solely pursuant to and in accordance with the fully executed Transferor Undertaking, Attestation, and Fee Reimbursement Agreement (the “Attestation Agreement”), and only upon confirmation by the Trustee that the Attestation Agreement has been executed and remains in effect.\nFURTHER RESOLVED, that such reimbursement shall be paid directly to Yves La Rose’s legal counsel (as a third-party payee, into counsel’s trust or IOLTA account) and not to Yves La Rose personally, and shall be conditioned on performance of the applicable transfer deliverables required under the Attestation Agreement.\nFURTHER RESOLVED, that the reimbursement may be disbursed in two tranches of USD $7,500 each, as follows: (a) the first tranche upon execution and satisfaction of the initial documentation milestone described in the Attestation Agreement, as confirmed in writing by the Trustee, and (b) the second tranche upon completion of the administrative transfer and control handover milestone described in the Attestation Agreement, as confirmed in writing by the Trustee.\nFURTHER RESOLVED, that if the Trustee determines that the Attestation Agreement has not been executed, has been terminated, or that the applicable milestone has not been satisfied, the VST and or VS LLC is authorized to withhold any unpaid portion of the reimbursement until the conditions are met."}
